End User License Agreement

This End User License Agreement ("Agreement") is a binding legal agreement between you ("you" or "User") and Claremont Computer Network LLC ("CCN," "we," "us," or "our"), the operator of 5C Exchange. It governs your access to and use of the 5C Exchange mobile application, website, and related services (together, the "App"). Please read it carefully.

1. Acceptance of this Agreement

By creating an account, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by this Agreement and by our Privacy Policy and Community & Safety Guidelines, which are incorporated by reference. If you do not agree to these terms, you must not access or use the App.

2. Eligibility

You may use the App only if you are at least 18 years old and a currently enrolled, verifiable student at one of the Claremont Colleges (Pomona College, Claremont McKenna College, Harvey Mudd College, Scripps College, or Pitzer College) with a valid Claremont Colleges email address. By registering, you represent and warrant that you meet these requirements and that all information you provide is accurate. We may verify your eligibility at any time and may suspend or terminate accounts that do not qualify.

3. License Grant

Subject to your compliance with this Agreement, CCN grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to download, install, and use the App for your personal, non-commercial use. You may not resell, redistribute, reverse engineer, decompile, or otherwise exploit the App except as expressly permitted by this Agreement or applicable law.

4. Your Account

Accounts are personal to you. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Do not share your account or create one on someone else's behalf. Notify us immediately at support@5cexchange.com if you suspect unauthorized use of your account.

5. User Content

The App allows you to create, post, and share listings, photos, messages, and other content ("User Content"). You retain ownership of your User Content. By posting it, you grant CCN a worldwide, royalty-free, non-exclusive license to host, store, display, reproduce, and distribute that content solely for the purpose of operating and providing the App. You are solely responsible for your User Content and confirm you have the right to share it.

6. Prohibited Content and Conduct: Zero Tolerance

CCN maintains a strict zero-tolerance policy toward objectionable content and abusive behavior. You agree that you will not post, upload, transmit, or otherwise make available any content, and will not engage in any conduct, that:

• Is unlawful, fraudulent, deceptive, or promotes illegal activity;
• Is harassing, threatening, abusive, bullying, or intimidating toward any person;
• Is hateful or discriminatory based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or any other protected characteristic;
• Is obscene, pornographic, sexually explicit, or otherwise indecent;
• Is defamatory, libelous, or invades the privacy of another person;
• Consists of spam, scams, phishing, or misleading listings;
• Infringes the intellectual property, privacy, or other rights of any third party;
• Contains malware, viruses, or any other harmful code;
• Depicts or facilitates the sale of illegal, dangerous, stolen, recalled, counterfeit, or prohibited goods, including weapons, alcohol, drugs, vapes, or controlled substances;
• Violates your college's academic honor code.

There is no tolerance for objectionable content or for users who engage in abusive behavior. Violating this section may result in immediate removal of your content and termination of your account.

7. Content Moderation and Safety Tools

To protect our community, the App provides the following safety mechanisms, and you agree to use them responsibly:

• Automated filtering. The App automatically screens listings and messages for prohibited language and objectionable content and blocks such content from being posted.
• Flagging and reporting. You may flag or report any listing, message, or user you believe violates this Agreement. Reports are routed to our moderation team for review.
• Blocking. You may block any other user. Blocking immediately removes the blocked user's content from your view, prevents further interaction, and notifies our team for review.

CCN reserves the right, but assumes no obligation, to monitor, review, filter, edit, or remove any User Content at our sole discretion, with or without notice.

8. Enforcement and Response Times

CCN is committed to acting on reports of objectionable content and abusive behavior promptly. Upon receiving a report, we will review the reported content or conduct and take appropriate action, which may include removing the offending content and ejecting the responsible user from the platform, within 24 hours. We may warn, suspend, restrict, or permanently ban any user who violates this Agreement, at our sole discretion and without prior notice.

9. Exchanges Between Users

5C Exchange is a venue that connects verified students who want to buy, sell, or give away items. CCN is not a party to any transaction between users. We do not own, inspect, store, deliver, or guarantee any item, and we are not responsible for the quality, safety, legality, or accuracy of any listing, or for whether any user follows through. All exchanges are conducted solely between the users involved and at their own risk. CCN does not currently process payments or hold funds; buyers and sellers arrange payment directly between themselves.

10. Intellectual Property

The App, including its design, features, logos, text, graphics, and underlying software, is owned by CCN and protected by intellectual property laws. Except for the limited license granted to you in this Agreement, no right, title, or interest in the App is transferred to you.

11. Disclaimers

The App is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, secure, or error-free, or that listings or other users are accurate, reliable, or safe. You use the App, and exchange items with other students, at your own risk.

12. Limitation of Liability

To the fullest extent permitted by law, CCN and its officers, members, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, use, or goodwill, arising out of or related to your use of the App, a transaction between users, or a meeting between users. Our total liability for any claim is limited to the amount you paid us to use the App, which at present is zero.

13. Termination

CCN may suspend or terminate your access to the App at any time, for any reason, including violation of this Agreement, without notice or liability. You may stop using the App and delete your account at any time. Upon termination, the license granted to you immediately ends. Provisions that by their nature should survive termination will continue to apply.

14. Changes to this Agreement

We may update this Agreement as the App grows. When changes are material, we will update the "Last updated" date above and notify you in the App where appropriate. Continuing to use the App after an update takes effect means you accept the revised Agreement.
